Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of CradleDesk ("we," "us," or "our"), a software-as-a-service platform for childcare center management, provided at cradledesk.com.

By creating an account or using any part of CradleDesk, you ("Customer," "Center," or "you") agree to these Terms. If you are creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Please read these Terms carefully. They affect your legal rights and include limitations on our liability and a dispute resolution provision.

2. Service Description

CradleDesk is a cloud-based childcare management platform. The Service includes:

  • Child enrollment and family management
  • Staff scheduling, time tracking, and payroll summaries
  • Billing, invoicing, and payment collection
  • Health records, immunization tracking, and incident reporting
  • Meal tracking and CACFP program reporting
  • Parent communication and daily updates
  • Attendance, ratio monitoring, and compliance tools
  • Reporting and analytics

We reserve the right to modify, add, or remove features from the Service at any time. Material changes will be communicated with reasonable notice.

3. Subscription & Billing

3.1 Plans and Pricing

CradleDesk is offered on a subscription basis at flat monthly rates:

  • Basic — $100/month
  • Professional — $175/month
  • Premium — $250/month

All plans include unlimited children and staff at your center. There are no per-child or per-user fees.

3.2 Free Trial

New customers receive a 14-day free trial with full access to CradleDesk. No credit card is required to start a trial. At the end of the trial, a subscription payment method is required to continue using the Service.

3.3 Billing

Subscriptions are billed monthly in advance. Billing begins on the date your paid subscription starts (after the free trial or immediately if you choose to upgrade during the trial). You authorize us to charge your payment method on a recurring monthly basis.

All fees are in U.S. dollars and are non-refundable except as stated below.

3.4 Cancellation Policy

You may cancel your subscription at any time from your account settings or by contacting us at info@cradledesk.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of your paid period.

3.5 Refund Policy

CradleDesk subscriptions are generally non-refundable. If you believe you were charged in error, contact us within 30 days at info@cradledesk.com and we will review your request in good faith.

3.6 Price Changes

We may change subscription pricing with at least 30 days' notice before the change takes effect. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

4. Acceptable Use

You agree to use CradleDesk only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to store or transmit any content that is unlawful, harmful, fraudulent, or violates any third-party rights
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Access the Service in a way that could damage, disable, or impair it
  • Use automated tools to scrape, harvest, or extract data from the Service
  • Use the Service for purposes other than managing your childcare center's operations
  • Share account credentials with individuals outside your organization
  • Upload malicious code, viruses, or anything designed to disrupt the Service

We reserve the right to suspend or terminate access for violations of this policy without prior notice.

5. Account Responsibilities

5.1 Administrator Responsibility

The center administrator who creates a CradleDesk account is the account owner. The account owner is fully responsible for all activity that occurs under their account, including actions taken by staff members with access granted by the administrator.

5.2 Staff Access

You are responsible for managing staff access to CradleDesk, including promptly revoking access when a staff member leaves your organization. We are not responsible for unauthorized access resulting from your failure to manage permissions.

5.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at info@cradledesk.com if you suspect unauthorized access to your account.

5.4 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.

6. Data Ownership

6.1 Your Data

You own the data you enter into CradleDesk — including information about your center, staff, children, and families. CradleDesk acts as a data processor on your behalf. We process your data only to provide the Service and as otherwise described in our Privacy Policy.

6.2 Data Export

You may export your data at any time using CradleDesk's built-in export tools. We support CSV exports for children records, family data, billing history, attendance logs, and reports.

6.3 No Selling of Your Data

We do not sell your data or the personal information of the children and families in your care to third parties. Period.

6.4 License to Operate the Service

By using CradleDesk, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service as described in our Privacy Policy.

7. Service Availability

We target high availability for CradleDesk but do not guarantee uninterrupted access. We perform maintenance periodically, which may result in brief downtime. We will make reasonable efforts to schedule maintenance during off-peak hours and to notify customers of planned outages in advance.

We are not liable for downtime caused by circumstances beyond our reasonable control, including internet infrastructure failures, third-party service outages, or force majeure events.

For critical childcare operations, we recommend maintaining backup paper records for attendance and emergency contacts as a contingency during any service outages.

8. Limitation of Liability

8.1 Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, CradleDesk's total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

In no event shall CradleDesk be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of business opportunity.

8.3 Indemnification

You agree to indemnify and hold harmless CradleDesk and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

9.2 Informal Resolution First

Before filing any formal claim, you agree to contact us at info@cradledesk.com and attempt to resolve the dispute informally. We'll try to resolve disputes within 30 days.

9.3 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English. Each party shall bear its own costs unless the arbitrator awards otherwise.

9.4 Class Action Waiver

You agree to resolve disputes with us individually and waive the right to participate in any class action or class-wide arbitration.

10. Termination & Data Retention

10.1 Termination by You

You may cancel your account at any time. See Section 3.4 for cancellation details.

10.2 Termination by Us

We may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in conduct that could harm other users or the Service. For non-emergency terminations, we will provide reasonable notice.

10.3 Data Retention After Cancellation

Following cancellation or termination, your data is retained for 90 days. During this period, you may contact us to export your data. After 90 days, your data is permanently deleted from our systems.

We strongly recommend exporting all records before cancelling, especially for compliance with childcare licensing requirements that may require record retention beyond 90 days.

10.4 Survival

Sections on Data Ownership, Limitation of Liability, Dispute Resolution, and any accrued payment obligations survive termination of these Terms.

11. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email to the address on your account and by displaying a notice in the CradleDesk dashboard at least 14 days before changes take effect.

Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must cancel your subscription before the changes take effect.
